How to Register a Company in India

If you have opened a new business/company and your business structure is ready, then you have to register your company on the Ministry of Corporate Affairs. It is necessary to register the company because you do not want to have any problem with issues like paperwork, documents, patent rights, etc. in the future.

If you do not register your company/business, then Govt will consider your company illegal.

Company registration lets the government know that your company is valid and according to the company law, you are running your company in a legal manner.

Now if you want to know how to register a company, you can register your company very easily by looking at these important steps.


Follow these important steps to properly register a company in India.


Step 1.   In this step, You first go to the MCA portal and create a new login ID. 

To create a login ID you have to register as a new user by going to the option of register.

You have to provide some information in New User Registration:

i) Name

ii) Date of Birth

iii) Contact Details

iv) Login Details

v) Password Recovery Question

By filling out all the details, you will receive the login ID and password, and by using the login ID, you can begin further steps.


Step 2. In this Step, You go to the MCA portal and click SPICe+ Option in the MCA service.

Once you've clicked SPICe+, you will need to choose the new application.

Afterward, you will receive a SPICe+ part 'A' form, where you will have to fill out the necessary details. like:

i) Types of company 

ii) Class of company

iii) Category of company

iv) Sub-Category of company

v) Particular of the proposed or approved name

Once you fill out the details, you have the option of Auto Check. Once you click on the option of Auto Check, it will show you if any company has been made with your proposed name. If no mistake will be found after auto-check, then you will proceed to the next step by clicking the option of submitting.


Step 3. In this step, You will get a confirmation alert where you will get 3 options:

i) Submit for new reservation

ii) Proceed for Incorporation

iii) Cancel

If you click on Submit for New Reservation option, it will only reserve your company or business name for the future, So that you can register your company in the future with that company or business name, and in this, you have to pay around 1000 fees which will be non-refundable.

But if you want to register your company at the same time, then you have to click the option of Proceed for Incorporation.


Step 4.    In this step, you click on the option for Proceed for Incorporation, the SPICe+ Part 'B' form will open in front of you.

In the Spice + Part 'B' option, you will have to fill important details like:

i) Structure of the company

ii) Authorized share capital

iii) Subscribed share capital

iv) Address  of the company

v) Email ID of the company

vi) Subscriber and Directors Details

vii) PAN/TAN Information

viii) Attachments

  • Memorandum of Association
  • Articles of Association
  • Declaration by first Subscriber(s) and Director(s)
  • Copy of the utility bills
  • Proof of identity & residential address of subscribers
  • Proof of identity and address of Applicant I
  • Proof of identity and address of Applicant II

ix) In all this, you will have to consult a Chartered Accountant and enter details of Chartered Accountant such as:

  • Name 
  • PAN No.
  • Members of (institute)
  • Address of your Chartered Accountant

After that, you will have to click on the pre scrutiny option and your details will be saved. Then you have to click on submit option so that your SPICe+ Part 'B' form will be submitted.


Step 5. When SPICe+ Part 'B' is submitted, you have to click on the OK button. After that, you will reach the SPICe+ dashboard.

When you come to the dashboard, you have to click on the existing application and you will get your application number below it.

You click on the application number, then whatever application you have filled like Spice + Part 'A' and 'B' will be visible.

Also, there will be 3 forms below that, which you will have to fill. What are the three forms:

  • AGILE-PRO
  • SPICe+ AoA
  • SPICe+ MoA

Step 6.   To fill AGILE-PRO, you need to enter this detail:

  1. Name of the company
  2. Primary business activity
  3. Exact nature of work/business
  4. Directors/Primary Owners/ Office Bearer details
  5. Nearby Police station details
  6.         Employer's details
  7. Bank details

8.        Attachments:

  • Proof of identity of Authorized signatory for opening Bank Account
  • Proof of address of Authorized signatory for opening Bank Account
  • Specimen Signature of Authorized signatory for EPFO

After filling all the details, in the last, you will have to enter the PAN number of the director, whose digital signature certificate (DCS) is maintained.

Then in the last click on Pre Scrutiny, check whether all the details have been filled, and then click on the option of submit. Your AGILE-PRO form will be submitted.


Step 7. In this step, you have to fill the Articles of Association form, to fill the AoA form, you will have to fill these important details:

        i) Name of the company

ii) Board of Directors details

iii) Number of Subscriber details

You will have to enter the details of your Chartered Accountant in the last which will attest or verify your registration form. After entering all these details, you have to click on submit button and your AoA form will be submitted.


Step 8. In this step, you have to fill the Memorandum of Association form, to fill the MoA form, you will have to fill these important details:

i) Name of the company 

ii) States of your registered company

iii) Objectives and goals of your company

iv) Share capital of the company

v) Subscriber Details

After entering all these details, you have to click on submit button and your MoA form will be submitted.


When you have filled all the forms, download the entire form and put a digital signature certificate of your directors in it. After verifying and attesting all the documents from the Chartered Accountant, upload all the documents to the option of upload e-form of the Ministry of Corporate Affairs and whatever fees will be asked, you will have to pay it.

Now your company registration form will be submitted to the Ministry of Corporate Affairs. After some time your company registration will be approved by the Ministry of Corporate Affairs.
